Terms of Services

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Holobit Pte. Ltd. ("Holobit", "we", "our", or "us"), a company incorporated in Singapore with Unique Entity Number (UEN): 202507816R and registered office at 10 UBI Crescent #04-19 UBI Techpark, Singapore 408564.

These Terms govern your access to and use of the Holobit platform, which includes but is not limited to:

  • the website located at https://holobit.world and its subdomains (the "Website");
  • the modeling and simulation, experiments, community etc including all associated software, features, and tools (the "Application");
  • any documentation, dashboards, visualizations, or other materials provided by Holobit;
  • any additional services or modules provided by Holobit from time to time.

Collectively, these are referred to as the "Services".

By accessing or using the Services, or by clicking to accept these Terms where such option is made available, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

1. Eligibility

The Services are available to individuals acting on their own behalf and to legal entities through authorized representatives. You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that entity to these Terms. You may not access the Services if you are located in, or a citizen of, any jurisdiction where such access would violate applicable laws.

2. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the "Last Updated" date and, where appropriate, notify you via email or through the Services. Continued use of the Services constitutes acceptance of the revised Terms.

3. Account Registration

To access the Services, you must create an account ("User Account") and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities under your account.

You agree not to share your account with others or impersonate another person. You must update your account information promptly if any changes occur.

4. Teams and Authorized Users

If you are on a paid plan, you may establish a workspace or team ("Team") and designate users ("Authorized Users") to access the Services under your account. As the account administrator ("Admin"), you are responsible for managing access levels and ensuring compliance with these Terms by your Team members. You remain liable for all activities under your Team’s use of the Services.

5. Subscription Plans and Payment

Access to certain features of the Services requires a paid subscription ("Subscription Plan"). Details of available Subscription Plans and their pricing tiers are published on the Website and may be updated from time to time.

By subscribing, you authorize us, or our third-party payment processors (including but not limited to Coinbase Commerce and Stripe), to charge your selected payment method on a recurring basis (monthly or annually, as applicable), unless and until you cancel in accordance with these Terms.

We currently accept payments via Stripe (credit and debit cards), which are processed in United States Dollars (USD). If your card is denominated in another currency, your issuer may apply a conversion fee.

We also accept certain supported cryptocurrencies via Coinbase Commerce, specifically USDT and USDC on supported networks. Other cryptocurrencies are not accepted at this time.

Accepted payment methods and currencies may change at our discretion and will be reflected at checkout. We do not collect, transmit, or store your full payment information. All payment data is handled directly by our third-party processors in accordance with their security and compliance standards.

You are responsible for ensuring that your payment information is current and valid. All fees are exclusive of applicable taxes, duties, and other governmental charges, which will be added where required by law.

Subscription fees are non-refundable, except where required by applicable law or otherwise explicitly stated. If you upgrade your Subscription Plan, the change will take effect immediately and you will be billed a prorated amount. Downgrades will take effect at the end of the current billing cycle. Failure to pay any applicable fees may result in the suspension or termination of your access to the Services.

All payments made through third-party processors are subject to the terms, conditions, and privacy policies of those providers. Holobit does not control and is not responsible for errors or delays caused by such providers.

6. User Content

You may upload, create, or submit data, models, simulations, and other materials through the Services ("User Content").

  • Paid Users: You retain ownership of your User Content. You grant Holobit a limited license to host, process, transmit, and display such content solely for the purpose of operating the Services.
  • Free Users: By submitting content, you agree to Content public and dedicate it to the public domain under the CC0 1.0 Universal Public Domain Dedication. Other users may view, fork, reuse, and redistribute your public content.

You are solely responsible for your User Content. Holobit does not claim ownership of your private content and will not share it unless instructed by you, required by law, or permitted under these Terms.

You represent and warrant that your User Content does not infringe any third-party rights, including intellectual property, privacy, or confidentiality rights. We may use publicly shared User Content (e.g., featured models or dashboards) to promote the Services, with appropriate attribution where feasible.

7. Acceptable Use

You agree not to use the Services:

  • For illegal, abusive, or harmful purposes;
  • To interfere with, disrupt, or degrade the performance of the Services;
  • To gain unauthorized access to other accounts or systems;
  • To reverse engineer, decompile, or disassemble the Services;
  • To infringe any intellectual property rights or violate applicable laws;
  • To introduce viruses, bots, crawlers, or automated scraping tools.

Usernames, Team names, or handles must not be offensive, misleading, or impersonate others. We reserve the right to suspend accounts violating our Acceptable Use Policy.

8. Service Changes

Holobit reserves the right to modify or discontinue any aspect of the Services at any time, with or without notice. We may introduce new features subject to additional terms or fees.

While we aim for high availability, the Services may be unavailable during maintenance or due to technical issues. Where feasible, we will make reasonable efforts to notify you in advance of material changes, feature deprecations, or planned downtime, through the Services, email, or other appropriate channels. You agree that Holobit is not liable for any downtime or loss of access.

9. Termination and Account Deletion

You may cancel your subscription or delete your account at any time via your settings. Termination takes effect at the end of your billing cycle unless otherwise specified. Deleted accounts and their User Content may not be recoverable.

We reserve the right to suspend or terminate your account, Team, or access to the Services if you violate these Terms or applicable laws, or if continued use creates risk or legal exposure to Holobit.

10. Intellectual Property

"Intellectual Property Rights" means all patents, copyrights and related rights, trademarks, trade names, service marks, trade dress, logos, domain names, design rights, rights in computer software and databases, know-how, trade secrets, and any other intellectual property or proprietary rights, whether registered or unregistered, and including all applications for and renewals or extensions of such rights, anywhere in the world.

All content and materials made available by Holobit through the Services, including but not limited to software, source code, algorithms, documentation, designs, user interfaces, text, graphics, logos, and trademarks, are the exclusive property of Holobit and its licensors, and are protected by applicable Intellectual Property Rights and other laws. This does not include User Content as defined in Section 6 User Content.

These Terms do not grant you any rights in or to any Intellectual Property Rights owned or licensed by Holobit, whether by implication, estoppel, or otherwise, except for the limited rights expressly granted in these Terms.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or reverse engineer any part of the Services without prior written permission from Holobit.

All rights not expressly granted to you are reserved by Holobit and its licensors.

11. Third-Party Services

The Services may integrate with or provide access to third-party services, platforms, APIs, or content (“Third-Party Services”). These may include data sources, payment providers, authentication systems, hosting infrastructure, or third-party libraries.

Your use of any Third-Party Services is subject to the terms and privacy policies of those providers. Holobit does not endorse, monitor, control, or assume responsibility for any Third-Party Services, including their availability, accuracy, or security.

You acknowledge and agree that any reliance on Third-Party Services is at your own risk, and you are solely responsible for ensuring your use of such services complies with all applicable laws and does not infringe upon any rights of third parties.

12. Privacy

Please refer to our Privacy Policy for details on how we collect, use, store, and share personal data. By using the Services, you acknowledge and agree to the practices described therein.

You understand that Holobit may process limited categories of personal data in the course of providing the Services, including information associated with your account, usage activity, and simulation-related inputs or outputs. You are solely responsible for ensuring that any personal data you upload or provide (e.g., within simulation data) complies with applicable privacy laws.

If you are located in a jurisdiction with data protection laws (such as the European Union under the GDPR), you may have certain rights with respect to your personal data, including the right to access, correct, or delete your information, subject to legal limitations. Please contact support@holobit.world for such requests.

Holobit acts as a data controller with respect to the personal information it collects and processes directly. We may share data with trusted third-party service providers as described in the Privacy Policy. We do not sell your personal data.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. HOLOBIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

We do not guarantee the accuracy or reliability of any simulation results or outputs, and you acknowledge that any decisions made based on such results are made at your own risk. Holobit disclaims any liability for outcomes arising from the use or interpretation of simulation data.

14. Limitation of Liability

To the maximum extent permitted by law, Holobit shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or business opportunities.

Our total liability arising from or related to these Terms shall not exceed the total amount actually paid by you to Holobit for the Services during the twelve (12) months preceding the event giving rise to the claim. If you have not paid any fees, Holobit shall have no liability to you, to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Holobit, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any applicable law or the rights of any third party.

This indemnification obligation will survive the termination or expiration of these Terms to the maximum extent permitted by law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes will be submitted to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

The arbitration shall be conducted in English. Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

17. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Holobit and supersede all prior or contemporaneous understandings, whether written or oral, relating to their subject matter.
  • No Waiver: Failure by Holobit to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Holobit may freely assign or transfer these Terms without restriction.
  • Force Majeure: Holobit shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or utility failures, or service disruptions caused by third parties.
  • Electronic Communications: You consent to receive communications from us electronically. We may communicate with you via email or through the Services. All such communications shall be deemed in writing and legally binding.
